KAST Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in the NatureKast Trade Partner Program (the. “Program”), operated by NatureKast Weatherproof Cabinetry (“NatureKast,” “we,” “us,” or “our”). 

By applying to, enrolling in, or participating in the Program, you (“you,” “Member,” or “Trade Partner”) agree to be bound by these Terms, as amended from time to time. If you do not agree, you may not participate in the Program. 

 

  1. Program Overview

The NatureKast Trade Partner Program is a dedicated trade program for qualified design and building professionals who regularly incorporate outdoor kitchens into their projects. Members may gain access to benefits such as: 

  • Education, training and professional development 
  • Design and technical support 
  • Access to planning tools, 3D files and samples 
  • Annual specification rewards 
  • Promotional and collaborative marketing opportunities  

The purpose of the Program is to support and reward professionals who specify NatureKast products on completed projects ordered and shipped through an authorized NatureKast dealer. Rewards are based on the value of eligible NatureKast products specified and shipped within a calendar year, as further described in these Terms and in Program materials.  

NatureKast may add, remove, or change Program benefits at any time, in its sole discretion. 

 

  1. Changes to These Terms & the Program

NatureKast reserves the right to update, modify, suspend, or terminate the Program and/or these Terms at any time, with or without prior notice, subject to applicable law. 

When changes are made, we will revise the “Last updated” date above. Your continued participation in the Program after any changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop participating in the Program. 

 

  1. Eligibility

3.1 Eligible Participants 

The Program is intended for verified trade professionals who specify NatureKast products (the “Specifier”), meaning they influence product selection through design and documentation (e.g., plans, drawings, schedules, finish selections, or cabinetry/appliance specifications) and are not the purchasing party on the project. 

Eligible participants include, but are not limited to: 

  • Interior designers 
  • Kitchen designers 
  • Architects 
  • Landscape architects / landscape designers 
  • Other residential or multi-residential design professionals acting as the Specifier 
  • Design-build firms only when the applicant is acting in a design/specification capacity and is not the purchasing entity for the NatureKast order 

Program membership is free for qualifying professionals; there is no fee to join. 

3.2 Geographic Eligibility 

At this time, the Program is available only to professionals based in the United States and Canada. 

3.3 Ineligible Participants 

The following are not eligible for the Program: 

  • NatureKast dealers and their employees 
  • Businesses or individuals that qualify to become a NatureKast dealer or operate as a NatureKast dealership 
  • Any individual or entity that purchases NatureKast products for resale as a dealer or showroom 
  • Purchasers, including any individual or entity purchasing NatureKast products directly or indirectly for installation, resale, or fulfilment of a contracted scope of work, including (without limitation) contractors, builders, remodelers, installers, fabricators, and purchasing agents acting as the buyer 

If NatureKast determines, in its sole discretion, that a Member is affiliated with a NatureKast dealer, is acting as a Purchaser, or is otherwise ineligible, NatureKast may deny or terminate membership and may cancel or adjust any rewards that were improperly issued.

 

  1. Enrollment & Membership

4.1 Application 

To apply, you must complete the Program application form and provide accurate business and professional information, as requested by NatureKast.  

4.2 Approval 

Applications are reviewed by NatureKast. Approval is not guaranteed. NatureKast may request additional information to verify your professional status and may approve, deny, or revoke membership at its sole discretion. 

Upon approval, you will receive a welcome communication with Program details, including how to submit projects, request samples, and access support resources.  

4.3 Member Responsibilities 

As a Member, you agree to: 


  • Provide accurate, current, and complete information in your application and in all Program-related submissions. 
  • Notify NatureKast promptly of any changes to your contact or business information.  
  • Only submit claims for projects where you personally meet the Program’s qualification criteria. 
  • Use the Program in good faith and refrain from any fraudulent or abusive conduct. 

You also agree that your participation in the Program and any rewards you receive: 

  • Comply with all applicable laws, regulations, and professional standards/ethics that apply to you and your business. 
  • Comply with any employer policies or client requirements that restrict or require disclosure of incentives, rewards, gifts, or similar benefits. 
  • Will not be used by you to improperly influence (or appear to improperly influence) any purchasing decision. 

NatureKast may require additional information or documentation to verify compliance and may suspend or terminate membership if it reasonably believes participation violates this section. 

 

  1. Qualifying Projects & Annual Specification Rewards

5.1 Qualifying Projects 

A project is considered “specified” when:  

  • A Member has selected, recommended or included NatureKast cabinetry in the design plans presented to the client, and 
  • Those specified NatureKast items are included in the final order placed through an authorized NatureKast dealer, and 
  • The order ships within the applicable calendar year. 

NatureKast’s rewards are generally calculated on the net kitchen value at NatureKast’s MSRP of eligible products, which may include:  

  • NatureKast cabinetry 
  • Related components 
  • NatureKast-provided appliances 

Discounts, taxes, freight, non-NatureKast items, or other excluded charges do not count towards your annual specification total. 

5.2 Annual Reward Structure 

At the end of each calendar year, Members may receive an annual reward based on the total MSRP of all eligible NatureKast products they specified that shipped within that calendar year (their “Annual Specification Total”).  

Reward levels (including any applicable tiers or percentages) are determined based on your Annual Specification Total as set out in the current Program materials and may be changed by NatureKast from time to time.  

NatureKast will determine your reward tier based on your final year-end total only; interim totals do not guarantee a final tier. 

5.3 Reward Options 

Subject to the then-current Program rules, rewards may be redeemable as one or more of the following: 

  • Cash payout to your business (e.g., cheque or electronic deposit) 
  • Gift card(s) from approved retailers 

NatureKast may change available redemption options, required minimums, or partners at any time. 

 

  1. Submitting Claims

6.1 How to Submit 

To earn credit toward rewards, you must submit a specification claim for each project using the official online Specification Claim Form (or any other method designated by NatureKast).  

You will generally be asked to provide: 

  • Basic project details 
  • Dealer information 
  • NatureKast order number (if known) 
  • Confirmation that you specified the NatureKast products included in the order 

6.2 Submission Deadlines 

To ensure your claims are included in the correct annual payout cycle, you must follow the timelines below (as may be updated in Program materials): 

Projects shipping January–November: Submit your claim within 30 days of shipment. 

Projects shipping in December: Submit your claim by January 10 of the following year to be included in the January payout for that calendar year. 

Claims submitted after these deadlines may still be processed but will be included in the next year’s annual payout. 

6.3 One Claim Per Project 

Only one claim per project will be accepted. If multiple people from the same firm submit a claim for the same project, NatureKast will determine, in its sole discretion, which claim (if any) is approved for rewards.  

6.4 Review & Approval 

All claims are subject to verification and approval by NatureKast. We may request additional documentation (such as invoices or order confirmations) to confirm eligibility. NatureKast may approve, deny, or adjust claims at its sole discretion. 

 

  1. Reward Calculation, Issuance & Expiry

7.1 Calculation & Timing 

Rewards are calculated annually based on eligible shipments from January 1 to December 31 

Rewards are issued once per year, typically in Q1 of the following calendar year. 

Members will receive a year-end summary that may include: 

  • Total Annual Specification Amount 
  • Reward tier achieved 
  • Final reward amount 
  • Instructions on how to redeem your reward  

7.2 Reward Delivery 

Rewards are issued electronically (e.g., by email with redemption instructions) or via other methods as specified by NatureKast. You must maintain a valid email address on file. 

NatureKast is not responsible for lost, delayed, misdirected or undelivered reward communications arising from outdated or incorrect contact information, spam filters, technical errors, or circumstances beyond our reasonable control. 

7.3 Expiry & Forfeiture 

Rewards may have an expiry date, which will be indicated in the reward communication or applicable terms from the issuing partner. 

Unused or expired rewards are forfeited and will not be reissued. 

Rewards have no cash value except to the extent expressly stated by NatureKast in connection with specific cash payout options. 

NatureKast may cancel or adjust rewards if they were issued in error, obtained through fraud or abuse, or based on orders that are cancelled, refunded or adjusted. 

 

  1. Other Important Terms About Rewards

Rewards cannot be sold, bartered, pledged, or transferred, except as expressly permitted by NatureKast. 

Rewards cannot be applied to dealer invoices, product discounts, or any other NatureKast accounts unless explicitly provided for in Program materials. 

Rewards are issued to the Member, not to the end consumer or dealer. 

Multi-unit or volume projects may be subject to additional restrictions or review at NatureKast’s discretion. 

NatureKast’s determination of eligibility, qualifying projects, Annual Specification Totals and reward amounts is final and binding, subject to applicable law. 

 

  1. Communications & Privacy

9.1 Notices, Electronic Communications 

By applying to and participating in the Program, you consent to receive Program-related communications from NatureKast, including: 

  • Enrollment and approval notifications 
  • Reward confirmations and year-end summaries 
  • Program updates, benefits, promotions, and educational opportunities 

These communications may be sent by email, phone, or other channels, as permitted by law and our privacy practices. 

Your participation in the Program is also subject to NatureKast’s Privacy Policy (as may be updated from time to time). Please review it carefully to understand how we collect, use, and protect your information. 

You may opt out of certain promotional emails while still receiving essential Program communications (e.g., reward notices, policy updates). If you fully opt out of essential communications, we may be unable to administer your Program membership. 

9.2 Marketing, Publicity & Content 

As part of the Program, Members may be invited to participate in promotional and collaborative marketing opportunities, including designer spotlights, project features, photography, editorial submissions, events, and similar initiatives.  

If you choose to participate or submit content, you grant NatureKast a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, distribute, and create promotional materials featuring: (a) your name, business name, professional bio, and logo; (b) non-confidential project details and descriptions you provide; (c) images, renderings, photographs, testimonials, and other materials you submit or authorize us to capture in connection with a featured project (collectively, “Content”), solely for Program and NatureKast marketing purposes. 

You represent that you have all necessary rights and permissions to provide the Content and to authorize NatureKast’s use of it for these purposes, including any required permissions from the project owner/client and photographer, and that the Content does not infringe any third-party rights. 
 

NatureKast will not intentionally disclose confidential client personal information in marketing materials without appropriate permission. 

9.3 Confidentiality 

NatureKast may share with Members certain information that is not publicly available (including product specifications, technical details, future product information, pricing/program details, training materials, drawings, CAD/3D files, samples, and similar materials). You agree to keep such information confidential and to use it only for legitimate Program-related purposes (e.g., evaluation, design/specification, and project planning involving NatureKast products). 

“Confidential Information” means any non-public information disclosed by NatureKast (or on NatureKast’s behalf) to you in connection with the Program, whether in written, electronic, visual, or oral form, that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. 

Confidential Information does not include information that you can demonstrate: (a) is or becomes publicly available through no breach of these Terms; (b) was lawfully known to you before disclosure by NatureKast; (c) is independently developed by you without use of the Confidential Information; or (d) is lawfully obtained from a third party without breach of any confidentiality obligation. 

You will use at least reasonable care to protect Confidential Information from unauthorized access, use, or disclosure, and in any event no less than the care you use to protect your own confidential information. You will not disclose Confidential Information to any third party except to your employees or contractors who have a legitimate need to know for Program-related purposes and who are bound by confidentiality obligations at least as protective as those in these Terms. 

If you are required by law to disclose Confidential Information (e.g., by subpoena or court order), you will (to the extent legally permitted) provide NatureKast with prompt notice so that NatureKast may seek a protective order or other remedy. You will disclose only the portion of the Confidential Information that you are legally required to disclose. 

Upon NatureKast’s request, or upon termination of your participation in the Program, you will promptly return or destroy (at NatureKast’s option) Confidential Information in your possession or control, except to the extent required to be retained by law or in accordance with your professional record-keeping obligations. 

Any unauthorized use or disclosure of Confidential Information may result in immediate suspension or termination of your membership and may give rise to additional remedies available to NatureKast under applicable law. 

 

  1. Taxes

You are solely responsible for any and all tax liabilities, reporting obligations, and other consequences that may arise from your participation in the Program and your receipt or use of any rewards, including cash payouts, gift cards, and charitable donations. 

10.1 Tax documentation and payout conditions 

For cash payouts (and where required for certain non-cash rewards), NatureKast may require you to provide valid tax documentation and payment information before issuing any reward, including U.S. IRS Forms W-9 or W-8BEN/W-8BEN-E (as applicable), Canadian tax information, residency information, or other documentation required by law. You agree to provide complete and accurate information upon request. 

If you do not provide required documentation or if the information provided cannot be verified, NatureKast may delay, suspend, or decline a cash payout until the issue is resolved, and may (where permitted) provide an alternate reward option or deem the reward forfeited after reasonable notice and a reasonable opportunity to cure. 

NatureKast may be required to report rewards to tax authorities and/or withhold amounts as required by applicable law. Any such withholding will be deducted from the reward amount issued. 

NatureKast does not provide tax advice. You should consult your own tax adviser regarding any tax implications of participation in the Program. 

 

  1. Suspension, Termination & Inactivity

11.1 Member Cancellation 

You may cancel your participation in the Program at any time by contacting NatureKast at [Program Email]. Upon cancellation: 

  • Your membership will be closed. 
  • Any unused or unissued rewards may be forfeited. 
  • Program benefits will cease. 

11.2 NatureKast’s Right to Suspend or Terminate 

NatureKast may, at its sole discretion and to the fullest extent permitted by law: 

  • Suspend or terminate your membership at any time, with or without cause. 
  • Suspend or cancel rewards if we suspect fraud, abuse, misrepresentation, or violation of these Terms. 
  • Terminate or modify the Program in whole or in part. 

11.3 Inactivity 

NatureKast may deem a Member’s account inactive after a period of prolonged inactivity (for example, if no claims are submitted and no Program engagement occurs for a specified period). After such period, NatureKast may close the account and any unused rewards may be forfeited. The definition and duration of “inactivity” may be set by NatureKast and updated in Program materials. 

 

  1. Disputes About Rewards

If you believe a claim or reward has not been properly credited, or your Annual Specification Total is inaccurate, you must notify NatureKast at kast@naturekast.com within sixty (60) days after the relevant statement, year-end summary, or reward communication is issued.  

NatureKast will use commercially reasonable efforts to investigate and resolve the issue. You agree to cooperate and provide any reasonably requested documentation. If we are unable to resolve the issue informally within thirty (30) days after receiving your notice (or a longer period if mutually agreed), either party may pursue formal remedies as permitted under these Terms and applicable law. 

Subject to applicable law, NatureKast’s determination of eligibility, Annual Specification Totals, and reward amounts will be final and binding. 

 

  1. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Program and all related content, communications and services are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. 

NatureKast does not warrant that the Program will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any errors will be corrected. 

Nothing in these Terms limits any non-waivable warranties or rights granted to you under applicable consumer protection laws. 

 

  1. Limitation of Liability

To the fullest extent permitted by applicable law: 

NatureKast and its owners, directors, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or relating to the Program or these Terms, even if advised of the possibility of such damages. 

NatureKast’s total aggregate liability to you arising out of or relating to the Program and these Terms will be limited to the total value of rewards you have earned but not yet redeemed under the Program in the twelve (12) months preceding the event giving rise to the claim. 

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the above limitations may not apply to you. In such cases, NatureKast’s liability will be limited to the minimum extent permitted by applicable law. 

 

  1. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless NatureKast and its owners, directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: 

Your breach of these Terms; 

Your participation in the Program; or 

Any misrepresentation or fraudulent activity committed by you in connection with the Program. 

 

  1. Governing Law & Assignment

These Terms and the Program are governed by the laws of the Province of [Ontario] and the federal laws of Canada applicable therein, without regard to conflict-of-law principles (subject to any mandatory consumer protection laws in your jurisdiction). 

You may not assign or transfer your Program membership or any rights or obligations under these Terms without NatureKast’s prior written consent. NatureKast may assign or transfer the Program and/or these Terms, in whole or in part (for example, in connection with a merger, acquisition, reorganisation, or sale of assets), without notice to you. 

Subject to applicable law, you agree that any dispute, claim, or proceeding arising out of or relating to the Program or these Terms will be brought exclusively in the courts located in St. Catharines, Ontario, and you submit to the personal jurisdiction of those courts. 

 

  1. Severability; No Waiver; Entire Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be deemed severed, and the remaining provisions will continue in full force and effect. 

NatureKast’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. 

These Terms, together with any applicable Program materials referenced herein, constitute the entire agreement between you and NatureKast regarding the Program and supersede any prior or contemporaneous communications, understandings, or agreements relating to the Program.
